1.2 Services: Includes but is not limited to IT solutions, consulting, software development, system integration, cloud solutions, and other related offerings provided by Netrosys.
1.3 Client: Any individual, company, or organization engaging with our Services.
1.4 Agreement: The contract formed between the Client and the Service Provider when the Client engages with our Services.
Netrosys will provide the agreed-upon services as outlined in specific agreements, proposals, or statements of work (“SOW”) executed between the Client and Netrosys. Services are subject to these Terms and any additional terms outlined in individual agreements.
3.1 Timely Communication: Clients must provide timely access to resources, information, and feedback necessary for the delivery of Services.
3.2 Compliance: Clients must comply with all applicable laws and regulations when utilizing our Services.
3.3 Payments: Clients agree to pay all fees, charges, and applicable taxes as specified in the agreement or invoice.
4.1 Performance Standards: We will perform the Services with due care, skill, and diligence in accordance with industry standards.
4.2 Delays: Netrosys is not responsible for delays caused by circumstances beyond our control, including but not limited to natural disasters, acts of war, or third-party vendor failures.
4.3 Acceptance: Services are deemed accepted upon delivery unless otherwise specified in the agreement.
5.1 Invoicing: Invoices will be issued according to the agreed-upon schedule.
5.2 Payment Due Dates: Payments are due within decided time of the invoice date unless otherwise specified.
5.3 Late Payments: Late payments may incur interest at a rate of 20% per month or the maximum allowable by law.
6.1 Ownership: All intellectual property created by Netrosys in connection with the Services remains the property of Netrosys unless otherwise agreed upon in writing.
6.2 License: Upon full payment, the Client receives a non-exclusive, non-transferable license to use the deliverables for the intended purpose.
7.1 Definition: Confidential Information includes all non-public information disclosed by one party to the other in connection with the Services.
7.2 Obligations: Both parties agree to protect the Confidential Information using the same level of care as they use for their own confidential information.
7.3 Exceptions: Confidential Information does not include information that is:
8.1 Exclusion of Damages: To the fullest extent permitted by law, Netrosys is not liable for indirect, incidental, or consequential damages arising from the use of our Services.
8.2 Maximum Liability: Netrosys’ total liability is limited to the amount paid by the Client for the specific Service giving rise to the claim.
9.1 Termination by Either Party: Either party may terminate the agreement upon 30 days written notice.
9.2 Termination for Cause: Netrosys may terminate the agreement immediately if the Client breaches these Terms or engages in unlawful activities.
9.3 Post-Termination Obligations: Upon termination, all outstanding fees become immediately payable.
10.1 No Warranty: Netrosys provides the Services “as is” without any warranty, express or implied.
10.2 Third-Party Tools: Netrosys is not responsible for the performance or functionality of third-party tools or software used in connection with our Services.
These Terms shall be governed by the laws of Government. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts.
We reserve the right to amend these Terms at any time. Changes will be effective upon posting to our website or notification to the Client.
These Terms, along with any executed agreements, represent the entire agreement between the Client and Netrosys concerning the Services and supersede any prior agreements or understandings.
